Metallon Engineered Materials Corp., based in Pawtucket, Rhode Island is a manufacturer of custom engineered clad metal products, principally for the electronics interconnect and switching industry. Metallon has been a key supplier to the electronics industry for more than ten years.

Copperweld Corporation, based in Pittsburgh , Pennsylvania , is a specialty metals fabricator and a wholly owned subsidiary of Imetal SA of France .

OEM Capital was asked by Metallon Engineered Materials Corp.’s principal investors, the Aegis Venture Funds and Landmark Partners, Inc., to assist in securing a buyer and negotiating the transaction in order that the shareholders could liquidate their holdings. From time to time they had been approached by potential acquirers, including management. However, they now wished to maximize shareholder value and retained us to manage a private sale with competitive bidding and assist in the negotiations.

OEM Capital worked closely with management to prepare a selling memorandum while developing a marketing program aimed at soliciting interest from strategic acquirers, time being of the essence. Using our network of international affiliates, this program elicited several interested parties and a selected group met with management and received a detailed presentation of the business.
